VPNSA Membership Terms

These Membership Terms apply to membership of Virtual Professionals Network South Africa (VPNSA), registration number 2025/966727/07.

By accepting these terms through the VPNSA membership application form, the member confirms that they have read, understood and agreed to these Membership Terms, the VPNSA Code of Conduct and the VPNSA Privacy Policy.

1. Membership term

All VPNSA memberships are for a fixed term of 12 months.

The membership term begins when VPNSA receives the member’s first monthly instalment or annual upfront payment.

Members may choose to pay:

  • The full annual membership fee upfront; or
  • The annual membership fee in 12 monthly instalments.

The monthly payment option is provided to make membership more accessible. It spreads the annual membership fee over 12 payments and does not create a month-to-month membership.

2. Membership fees

The membership fee and payment option selected by the member will be confirmed during registration.

Members who select annual upfront payment must pay the full membership fee before their membership is activated.

Members who select monthly instalments are responsible for paying all instalments due during the 12-month membership term, subject to their cancellation rights under applicable South African law.

VPNSA may change its membership fees for future membership terms. Members will be informed of any fee change before it applies.

3. PayFast and recurring payments

VPNSA may offer PayFast as an optional method for collecting monthly instalments. VPNSA may also accept manual payments or use another payment-service provider.

Choosing monthly instalments does not automatically authorise recurring collection. A member must separately approve and complete the recurring-payment setup.

Where recurring collection is authorised, the member permits VPNSA and PayFast, or another appointed payment-service provider, to collect the agreed monthly instalment on each billing date.

Payment information is processed according to the payment provider’s applicable terms, security requirements and privacy practices. VPNSA does not receive or store members’ complete card details.

Stopping or cancelling a PayFast payment instruction does not automatically cancel the VPNSA membership or the 12-month membership term.

4. Missed or failed payments

If a monthly instalment is missed, declined or unpaid, VPNSA may contact the member and temporarily pause access to membership benefits until payment is received.

This may include access to:

  • VPNSA community platforms;
  • Member events and meetups;
  • Directory listings and member features;
  • Resources and workshops;
  • The VPNSA VA Workspace; and
  • Referral or opportunity sharing.

Pausing access does not automatically cancel the membership or remove amounts that have already become due.

5. Membership benefits

Membership benefits may include community access, member directory visibility, member spotlights, accountability support, meetups, workshops, resources, referrals, opportunity sharing and access to the VPNSA VA Workspace where available.

Benefits may be improved, replaced, rescheduled or discontinued where reasonably necessary. VPNSA will communicate material changes that affect the overall membership offering.

VPNSA does not guarantee that membership will result in clients, referrals, contracts, employment, income or business growth.

6. Code of Conduct

All members agree to comply with the VPNSA Code of Conduct throughout their membership.

The Code of Conduct applies to all VPNSA platforms, events, communications, referrals, accountability sessions, WhatsApp groups and member interactions.

A breach may result in a warning, temporary suspension, removal from a platform or termination of membership, depending on the nature and seriousness of the conduct.

Serious breaches may include harassment, dishonesty, client poaching, misuse of member information, breach of confidentiality or conduct that threatens the safety or reputation of the network.

7. Confidentiality and member information

Members must keep confidential any non-public information shared through VPNSA, including business information, pricing, client details, member discussions, documents, referrals and personal experiences.

Member information may only be used for genuine networking, referrals and professional engagement. It may not be copied, sold, scraped, added to external databases or used for unsolicited marketing without permission.

These confidentiality responsibilities continue after membership ends.

8. Directory listings and member features

Members may separately choose whether they agree to:

  • Being listed in the public VPNSA Member Directory;
  • Having their information used for member spotlights or promotional features; and
  • Joining the VPNSA WhatsApp community.

Members may withdraw these permissions for future use by contacting VPNSA. Withdrawal will not affect content already lawfully published or used before the request was received.

Members are responsible for ensuring that information supplied for listings and features is accurate.

9. Referrals and opportunities

VPNSA may share referrals, leads, overflow work and collaboration opportunities with members.

VPNSA does not guarantee the quality, suitability, value or outcome of an opportunity and is not automatically a party to an agreement between a member and a client or another member.

Members are responsible for conducting their own checks, agreeing on their own fees and scope, and using appropriate client or subcontractor agreements.

Members may not poach another member’s client, bypass an agreed referral process or approach another member’s client without permission.

10. VPNSA resources and VA Workspace

VPNSA resources, templates, workbooks, training materials, platform content, branding and other materials remain the property of VPNSA or their respective owners.

Members may use these resources for their own internal business purposes but may not resell, redistribute, publish, rebrand or claim ownership of them without written permission.

The VPNSA VA Workspace is a practical member tool and may contain beta or developing features. Members remain responsible for the accuracy, lawful use, security and independent backup of their business and client information.

11. Cancellation

A member may request cancellation of the fixed-term membership by giving VPNSA at least 20 business days’ written notice, or any other notice required by applicable South African law.

VPNSA may charge a reasonable cancellation amount where permitted by law, taking into account the membership already supplied, benefits used and the circumstances of the cancellation.

VPNSA will not automatically demand every remaining monthly instalment solely because a member cancels early. However, instalments and other amounts that became due before the effective cancellation date remain payable.

Where an annual fee was paid upfront, any refund legally due will be calculated after deducting the value of membership already supplied and any reasonable cancellation charge permitted by law.

12. Privacy

VPNSA processes member information to administer membership, collect payments, communicate with members, manage benefits, maintain records and meet its legal obligations.

Personal information will be handled in accordance with the VPNSA Privacy Policy and applicable South African data-protection law.

13. Acceptance

Acceptance of these terms is recorded electronically through the VPNSA membership application or acceptance form.

By submitting the form, the member confirms that they:

  • Have read and accepted these Membership Terms;
  • Accept the VPNSA Code of Conduct;
  • Have read the VPNSA Privacy Policy;
  • Understand the fixed 12-month membership commitment; and
  • Understand the payment responsibilities associated with their selected payment option.

These terms are governed by the laws of the Republic of South Africa.
